Terms and Conditions of Service

WELCOME

Teamwork Technology (the “Service”) is a brand of Calcagno Group LLC (the “Provider”), acting as a strategic partner of ForeSoft Corp., the owner of the original development platform. By contracting or using the Service, The Client accepts the terms of this Agreement and agrees to comply with all applicable laws and regulations.

NATURE OF SERVICE AND OWNERSHIP

The Service consists of a software solution tailored to the client's needs built upon ForeSoft Corp.'s technological infrastructure. Access to the software is granted under a personal and non-transferable use license. Use of the Service does not imply any transfer of ownership rights over the software, its components, or source code, which remain under the ownership and intellectual property of Teamwork Technology, unless an express written co-ownership agreement exists with the client.

DEVELOPMENT AND MAINTENANCE

Custom development services, specific adaptations, and technical maintenance of the software are billed independently of the subscription fee. These services are governed by hourly rates previously agreed upon through the Provider's authorized representatives.

Any new development, modification, or adaptation request shall be subject to a prior evaluation of technical, operational, and user experience viability by the Provider, and must strictly align with the architecture, design, performance, and business logic standards of the Teamwork platform. The Provider reserves the right to reject any requests that violate these standards, compromise field usability, or prove inconsistent with the platform's data model.

It is expressly stated that all developments, modifications, and improvements made form part of the source code referred to in the previous section and are subject to the same ownership and intellectual property conditions mentioned.

CLIENT CONDUCT

The Client is solely responsible for the content of their account. The Service acts as a passive conduit for data storage and management.

PRIVACY

Registration data and database content are private and confidential. The Provider will not disclose information unless required by a competent legal authority.

SECURITY AND RELIABILITY

SSL technology is used for data encryption. The service is hosted on redundant servers at the SteadFast Data Center (Chicago, USA). ForeSoft Corp. performs daily backups and maintains the platform on which the software is developed to ensure operational stability.

PAYMENTS

The Service is a prepaid subscription with no forced contracts.

• Billing Basis: The subscription fee is established based on the number of active users in the system.
• Currency and Payment Methods: Payments are made exclusively in U.S. Dollars (USD) via credit or debit card.
• Rate Stability: The Provider commits to maintaining agreed prices during the paid period. Any modification in subscription rates will be notified to the Client at least 30 days in advance.
• Cancellation: The Client may cancel at any time; the unused proportional part will be refunded.
• Storage: Unlimited space for data is included.

DISCLAIMER OF WARRANTIES

The Service is provided "AS IS". The Provider is not responsible for external interruptions due to inherent problems with the Internet or electronic communications.

TERM AND USE

This Agreement governs while the subscription remains active. The Client agrees not to resell the Service without the express written consent of the Provider.

Términos y Condiciones del Servicio

BIENVENIDOS

Teamwork Technology (el “Servicio”) es una marca de Calcagno Group LLC (el “Proveedor”), quien actúa como partnership estratégico de ForeSoft Corp., propietario de la plataforma de desarrollo original. Al contratar o utilizar el Servicio, El Cliente acepta los términos de este Acuerdo y se compromete a cumplir con todas las leyes y reglamentos aplicables.

NATURALEZA DEL SERVICIO Y PROPIEDAD

El Servicio consiste en una solución de software adaptada a medida del cliente sobre la infraestructura tecnológica de ForeSoft Corp. El acceso al software se otorga bajo licencia de uso personal e intransferible. El uso del Servicio no implica transferencia de derechos de propiedad sobre el software, sus componentes o código base, los cuales permanecen bajo la titularidad y propiedad intelectual de Teamwork Technology, salvo acuerdo de copropiedad expreso y por escrito con el cliente.

DESARROLLO Y MANTENIMIENTO

Los servicios de desarrollo personalizado, adaptaciones específicas y mantenimiento técnico del software se facturan de forma independiente a la cuota de suscripción. Dichos servicios se rigen por tarifas horarias acordadas previamente a través de los representantes autorizados del Proveedor.

Todo nuevo desarrollo, modificación o requerimiento de adaptación estará sujeto a la previa evaluación de viabilidad técnica, operativa y de experiencia de usuario por parte del Proveedor, debiendo alinearse estrictamente a los estándares de arquitectura, diseño, desempeño y lógica de negocio de la plataforma Teamwork. El Proveedor se reserva el derecho de rechazar aquellas solicitudes que contravengan dichos estándares, comprometan la usabilidad en campo o resulten inconsistentes con el modelo de datos de la plataforma.

Se establece expresamente que todos los desarrollos, modificaciones y mejoras realizadas forman parte del código base al que se refiere el punto anterior y quedan sujetos a las mismas condiciones de titularidad y propiedad intelectual mencionadas.

CONDUCTA DEL CLIENTE

El Cliente es el único responsable por el contenido de su cuenta. El Servicio actúa como un conducto pasivo para el almacenamiento y gestión de datos.

PRIVACIDAD

Los datos de registro y el contenido de las bases de datos son privados y confidenciales. El Proveedor no divulgará información a menos que sea requerido por autoridad legal competente.

SEGURIDAD Y FIABILIDAD

Se utiliza tecnología SSL para el cifrado de datos. El servicio se aloja en servidores redundantes en el Centro de Datos SteadFast (Chicago, EE. UU.). ForeSoft Corp. realiza copias de seguridad diarias y mantiene actualizada la plataforma sobre la cual está desarrollado el software para garantizar la estabilidad operativa.

PAGOS

El Servicio es una suscripción prepaga sin contratos forzosos.

• Base de Facturación: La tarifa de suscripción se establece en función de la cantidad de usuarios activos en el sistema.
• Moneda y Medios de Pago: Los pagos se realizan exclusivamente en dólares estadounidenses (USD) mediante tarjeta de crédito o débito.
• Estabilidad de Tarifas: El Proveedor se compromete a mantener los precios acordados durante el periodo abonado. Cualquier modificación en las tarifas de suscripción será notificada al Cliente con al menos 30 días de antelación.
• Cancelación: El Cliente puede cancelar en cualquier momento; se devolverá la parte proporcional no utilizada.
• Almacenamiento: Se incluye espacio ilimitado para datos.

EXCLUSIÓN DE GARANTÍAS

El Servicio se proporciona "TAL CUAL". El Proveedor no se responsabiliza por interrupciones ajenas debidas a problemas inherentes a Internet o comunicaciones electrónicas.

PLAZO Y USO

Este Acuerdo rige mientras la suscripción permanezca activa. El Cliente se compromete a no revender el Servicio sin consentimiento expreso por escrito del Proveedor.
